Reporting directly to the Chief Operating Officer, this role will provide legal guidance, support, and strategic counsel to various departments, while also overseeing external legal resources. A key collaborator with the Real Estate, Construction, and Facility teams, as well as the CFO for contract review and approval, the General Counsel plays a vital role in shaping company culture through a customer-focused mindset. This position will drive cross-functional collaboration, foster productive partnerships, and develop processes and systems that align with legal best practices. As a key member of the management team, the General Counsel will work closely with other leaders to execute the company's strategic direction and inspire a team-oriented approach across the business.Duties and ResponsibilitiesSupport the “Cavender's Culture” and drive our Mission, Vision, and Values.Ensure that the company operates in full compliance with all applicable federal, state, and local laws and regulations.Draft, review, and negotiate various contracts, including vendor agreements, leases, employment contracts, and other legal documents.Structure, draft, negotiate and review construction, property management, and leasing agreements, and other customary retail real estate documents and contracts.Develop and manage contract review and approval process, create contract templates/forms.Work closely with Risk Management Department for insurance policy review and renewal.Identify legal risks and provide proactive advice to mitigate potential issues.Manage and oversee litigation matters, working closely with external counsel when necessary.Protect the company's intellectual property rights, including trademarks and copyrights.Review all marketing materials before being released.Assist in corporate governance matters, including board meetings, minutes, and corporate filings; manage entity governance compliance for company and affiliate entities.Operate within constraints of the financial budget for assigned areas as applicable.Provide guidance on employment-related matters, including HR policies, employee relations, and compliance with labor laws.Stay updated on changes in relevant laws and regulations, and ensure the company's policies and practices are in line with these changes.Conduct legal research to provide informed recommendations and interpretations of complex legal issues.Develop and deliver legal training programs to educate employees on compliance and legal best practices.Collaborate with procurement and supply chain teams to manage vendor relationships and contracts.Partner with other departmental teams to ensure they are supported from a legal standpoint, to include the finance, real estate, risk management, human resources, marketing, merchandising, information technology, fulfillment and store operations, and ecommerce teams.Build relationships through effective communication and collaboration as a trusted advisor and solution-oriented business partner.Qualifications and RequirementsJuris Doctor (JD) degree from an accredited law school.Active membership in good standing with the State Bar of Texas.Minimum of 10 years of relevant legal experience, preferably with a combination of law firm and in-house counsel experience.Ability to maintain the highest level of confidentiality and handle confidential matters and information properly.Strong knowledge of contract law, corporate law, and regulatory compliance.Excellent communication, negotiation, and interpersonal skills.Ability to work independently and make sound legal judgments.Demonstrated ability to handle multiple tasks and prioritize effectively.Attention to detail and strong analytical skills.Ability to engage and inspire a wide variety of partners, stakeholders, and team members.Ability to manage a team, both internally and externally.Highly organized and detail-oriented, with the ability to drive execution of company initiatives.Ability to build business relationships across departments and foster a culture of collaboration.Strong analytical skills with a demonstrated ability to drive analysis into action.Ability to travel up to 30% of the time.Preferred SkillsBA/BS degree in Business, Merchandising or related fields of study, or relevant experience (or Master of Business Administration).Experience in the retail industry or a related field.Knowledge of real estate and related laws and legal issues regarding retail operations.Significant experience with commercial real estate acquisition and development, from letter of intent through negotiation of purchase and sale agreements and leases, closing, and project opening, providing advice, legal analysis, and transaction leadership and support.Significant experience drafting and negotiating commercial real estate lease agreements, especially big box retail, anchor tenant agreements, and associated restrictive covenant and easement agreements.Familiarity with intellectual property law and trademark registration.Experience in privacy rules and regulations in multi-state environments.Knowledge of employment law and HR-related legal issues.Knowledge of self-funded insurance plans including Health Insurance and Captives.Experience working with cross-functional teams.Proven ability to provide practical and strategic legal advice.Strong business acumen and understanding of the retail industry's legal challenges.Demonstrated success representing companies in fast-paced retail environments.Effective problem-solving and decision-making ability.Ability to work under pressure and meet deadlines.Self-driven, innovative strategic thinker who is resourceful and can look beyond existing business and technology limitations.Cavender's is an Equal Opportunity Employer.
